Terms of Service
These Terms of Service ("Terms") govern your access to and use of NivaDesk, including our website, web app, mobile apps, desktop apps, software, features, services, and related support services.
NivaDesk is operated by EGGCRAFT LIMITED ("NivaDesk", "we", "us", or "our").
By creating an account, accessing NivaDesk, subscribing to a paid plan, inviting team members, uploading content, or using any part of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use NivaDesk.

2. What NivaDesk does
NivaDesk is a business management workspace designed to help small businesses, studios, makers, freelancers, and teams manage their work in one place.
NivaDesk may include features such as:
- order management
- client and customer records
- workflow tracking
- task management
- notes
- reminders
- timelines and delivery tracking
- team workspaces
- role-based permissions
- uploaded files and client files
- history logs and activity records
- offline access and sync
- subscription plans and feature limits
- integrations with third-party services
3. Eligibility
You must be at least 18 years old, or the age of legal majority in your country, to use NivaDesk. By using NivaDesk, you confirm that:
- you can legally enter into these Terms
- the information you provide is accurate
- you will use NivaDesk only for lawful purposes
- if you use NivaDesk on behalf of a business, you have authority to accept these Terms for that business
4. Your account
You may need to create an account to use NivaDesk. You are responsible for:
- keeping your login details secure
- using a strong password
- keeping your account information up to date
- controlling access to your devices
- all activity that happens under your account
5. Workspaces and team access
NivaDesk allows users to create or join workspaces. A workspace owner or administrator may be able to:
- invite users
- remove users
- assign roles
- control permissions
- manage workspace settings
- view workspace activity
- access, edit, export, or delete workspace content depending on their role
6. Plans, subscriptions, and feature limits
NivaDesk may offer free or demo access, monthly or annual paid subscriptions, team plans, storage add-ons, or other plan types. Each plan may have different limits and features, such as:
- number of orders
- number of workspaces
- number of team members
- storage limits
- file upload access
- client file access
- export options
- customisation features
- team permissions
- integrations
- offline features
- support level
7. Free plans and trial access
We may offer free plans, demo plans, beta access, trial access, or limited versions of NivaDesk. Free or trial access may be limited, changed, suspended, or withdrawn at any time.
8. Payments
Paid plans may be purchased through our website, Apple App Store, Google Play, Stripe, or another payment provider. By purchasing a paid plan, you agree to pay all applicable fees, taxes, and charges.
If you subscribe through Apple App Store or Google Play, your payment, renewal, cancellation, and refund may be handled by Apple or Google under their own terms. If you subscribe through our website, payment may be handled by a third-party payment processor such as Stripe. We do not store full card details ourselves.
9. Subscription renewal and cancellation
Subscriptions may renew automatically unless cancelled before the renewal date. You are responsible for cancelling your subscription through the platform where you purchased it.
Cancelling a subscription usually stops future renewals. It does not always automatically provide a refund for the current billing period.
If your paid subscription expires, is cancelled, or payment fails, your account may be downgraded to a Free Demo or limited plan. Core order, customer, and available basic financial data may remain available for export after a downgrade, subject to security, abuse prevention, legal, and technical limits.
Client Files and cloud-stored message attachments are paid-plan features. Once the eligible paid period ends, they cannot be opened, previewed, downloaded, uploaded, renamed, or deleted through the app. We may retain them for up to 90 days so access can be restored if the workspace resubscribes during that period; after that period they may be deleted.
- Apple App Store subscriptions must usually be managed through your Apple account
- Google Play subscriptions must usually be managed through your Google Play account
- web subscriptions must usually be managed through the billing portal or by contacting us
10. Refunds
Refund eligibility depends on how and where you purchased your subscription. Unless required by law or stated otherwise, fees are generally non-refundable once a paid subscription period has started.
We may choose to provide a refund at our discretion, but doing so does not create a general right to future refunds. More details may be provided in our separate Refund & Cancellation Policy.
Consumer right to cancel (UK/EU): If you are a consumer, you may have a statutory right to cancel a purchase of digital services within 14 days. Because NivaDesk provides access immediately, by purchasing and starting to use a paid plan you expressly request that we begin providing the service straight away and you acknowledge that you will lose this 14-day cancellation right once the service has been fully performed, or, for ongoing subscriptions, to the extent the service has already been provided. This does not affect your other statutory rights or any mandatory app-store refund rights.

- Google Play purchases are usually handled by Google
- web purchases may be reviewed by us or our payment provider
11. Your content
NivaDesk allows you and your team to upload, enter, store, manage, or share content, including client details, customer information, order details, addresses, notes, files, images, PDFs, design files, documents, task records, workflow information, timelines, history logs, comments, and business data. This is called "Your Content" in these Terms.
You retain ownership of Your Content. We do not claim ownership of the content you upload or enter into NivaDesk.
However, you grant us a limited permission to host, store, copy, process, transmit, display, back up, and otherwise use Your Content only as necessary to provide, maintain, secure, improve, and support NivaDesk.
12. Responsibility for your content
You are responsible for Your Content and for making sure you have the legal right to upload, store, use, and share it through NivaDesk. You must not upload or use content that:
- is unlawful
- infringes intellectual property rights
- violates privacy rights
- contains malware, viruses, or harmful code
- contains illegal, abusive, exploitative, hateful, or harmful material
- contains data you do not have permission to process
- is intended to overload, damage, or misuse our systems
13. Client and third-party data
If you use NivaDesk to store information about your own clients, customers, suppliers, contractors, employees, or other third parties, you are responsible for ensuring that you have a lawful basis to collect, use, and store that information.
You are responsible for providing any privacy notices, permissions, or legal information required for your own clients or customers. NivaDesk is not responsible for the accuracy, legality, or completeness of data that you or your team add to your workspace.
14. Data protection
Our use of personal data is explained in our Privacy Policy.
If you use NivaDesk as a business and upload personal data about your clients or customers, additional data processing terms may apply, including our Data Processing Agreement where applicable.
If there is a conflict between these Terms and a signed or agreed Data Processing Agreement, the Data Processing Agreement will apply to the processing of personal data covered by that agreement.
15. Uploaded files and storage
NivaDesk may allow you to upload files to your workspace. Storage limits may depend on your plan.
You are responsible for keeping your own backup copies of important files and business records. Although we aim to provide reliable storage, NivaDesk should not be your only backup for critical business files.
To help protect against accidental loss, deleted orders are moved to a Trash and can be restored for 30 days before they are permanently removed. We also maintain automatic backups of your workspace database, including short-term point-in-time recovery covering recent days and regular daily backups retained for a limited period, together with a regular backup of account records. These measures are provided on a best-effort basis, are not guaranteed, and do not replace your responsibility to keep your own copies of important data. You can export your data at any time from Settings → Data Management.
We may remove or restrict files that breach these Terms, exceed storage limits, create security risks, or violate the rights of others.

16. Offline mode and sync
NivaDesk may offer offline access, local caching, or pending sync features. Offline features may allow certain data or files to be stored temporarily on your device.
You are responsible for keeping your device secure. Offline edits may not sync correctly if there are connection problems, device issues, account conflicts, permission changes, deleted records, or service interruptions.
We do not guarantee that offline mode will always prevent data loss, sync conflicts, or outdated information.
17. Integrations and third-party services
NivaDesk may connect with third-party services such as authentication providers, payment providers, calendar tools, cloud services, app stores, analytics tools, or other integrations.
Third-party services are controlled by their own providers and may have their own terms and privacy policies. We are not responsible for third-party services, their content, availability, security, errors, data practices, or changes.
If you connect a third-party service to NivaDesk, you authorise us to access and use the relevant information from that service only as needed to provide the connected feature.
18. Acceptable use
You must not misuse NivaDesk. You agree not to:
- use NivaDesk for unlawful purposes
- upload malware, viruses, or harmful code
- attempt to gain unauthorised access to accounts, data, systems, or networks
- interfere with the performance or security of NivaDesk
- copy, scrape, crawl, or harvest data without permission
- reverse engineer or attempt to extract source code unless allowed by law
- bypass plan limits, access controls, storage limits, or security features
- resell, sublicense, or commercially exploit NivaDesk without permission
- use NivaDesk to send spam or abusive communications
- upload content that infringes intellectual property rights
- impersonate another person or business
- use NivaDesk in a way that could damage our reputation or services
19. Intellectual property
NivaDesk, including its software, design, website, app interface, branding, logos, features, systems, text, graphics, and technology, is owned by us or our licensors.
These Terms do not transfer ownership of NivaDesk to you. You are granted a limited, non-exclusive, non-transferable, revocable right to access and use NivaDesk in accordance with these Terms and your plan.
You must not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on NivaDesk unless we give you written permission or the law allows it.
20. Feedback
If you send us feedback, ideas, suggestions, bug reports, feature requests, or comments, you allow us to use them without restriction or payment to you.
We may use feedback to improve NivaDesk, create new features, fix issues, or develop related products. You are not required to provide feedback.
21. Beta features
We may offer beta, experimental, preview, or early access features. Beta features may be incomplete, unstable, limited, or changed at any time.
We may remove beta features without notice. You should not rely on beta features for critical business operations.
22. Service availability
We aim to keep NivaDesk reliable and available, but we do not guarantee uninterrupted or error-free service. NivaDesk may be unavailable because of:
- maintenance
- updates
- technical issues
- internet problems
- third-party provider issues
- security incidents
- outages
- force majeure events
- app store or platform restrictions
23. Support
We may provide support by email, help pages, in-app guidance, or other support channels. Support availability may depend on your plan. We do not guarantee specific response times unless we separately agree to them in writing.
24. Account suspension and termination
We may suspend or terminate your access to NivaDesk if:
- you breach these Terms
- payment fails
- your use creates security, legal, or operational risk
- you misuse the service
- you violate another person's rights
- we are required to do so by law
- your account is inactive for an extended period
- we stop offering the service or a feature
25. Effect of termination
When your account or workspace is terminated, your access to NivaDesk may stop immediately.
We may delete, restrict, or retain data according to our Privacy Policy, Data Processing Agreement, backup practices, legal obligations, and technical requirements.
You are responsible for exporting any data you need before termination, cancellation, or deletion where export is available.
26. Disclaimers
NivaDesk is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not guarantee that:
- NivaDesk will always be available
- NivaDesk will be error-free
- data will never be lost
- all bugs will be fixed
- every feature will meet your specific business needs
- third-party services will remain available
- results from using NivaDesk will be accurate or complete
27. Limitation of liability
To the maximum extent permitted by law, EGGCRAFT LIMITED and NivaDesk will not be liable for loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, business interruption, indirect or consequential loss, issues caused by third-party services, or unauthorised access caused by your failure to secure your account or device.
To the maximum extent permitted by law, our total liability for any claim relating to NivaDesk will be limited to the amount you paid to us for NivaDesk in the 12 months before the event giving rise to the claim, or GBP100 if you used only a free plan.
Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
28. Indemnity
If you use NivaDesk for business purposes, you agree to indemnify and hold us harmless from claims, losses, damages, liabilities, costs, and expenses arising from:
- your breach of these Terms
- your misuse of NivaDesk
- Your Content
- your violation of law
- your violation of third-party rights
- your handling of your own client or customer data
- disputes between you and your clients, customers, employees, contractors, or team members
29. Changes to NivaDesk
We may change, update, improve, limit, suspend, or discontinue any part of NivaDesk. We may also change plan features, technical requirements, integrations, file limits, storage limits, or supported platforms.
Where a change materially affects paid users, we will try to provide reasonable notice where required.
30. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we may notify you by email, in-app notice, website notice, or by updating the date at the top of this page.
Your continued use of NivaDesk after the updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using NivaDesk.
31. Apple App Store additional terms
If you download or subscribe to NivaDesk through Apple App Store, the following additional terms may apply:
- these Terms are between you and us, not Apple
- Apple is not responsible for NivaDesk or its content
- Apple has no obligation to provide maintenance or support for NivaDesk
- payment, renewal, cancellation, and refunds may be handled by Apple
- your use of the app must comply with Apple's applicable terms
32. Google Play additional terms
If you download or subscribe to NivaDesk through Google Play, the following additional terms may apply:
- these Terms are between you and us, not Google
- Google is not responsible for NivaDesk or its content
- payment, renewal, cancellation, and refunds may be handled by Google
- your use of the app must comply with Google Play's applicable terms
33. Export control and sanctions
You must not use NivaDesk if doing so would violate applicable export control, sanctions, or trade laws.
You must not use NivaDesk in or for the benefit of countries, organisations, or individuals where such use is prohibited by applicable law.
34. Governing law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms, except where applicable consumer protection law gives you the right to bring a claim in another country.
